Purpose and scope
These Terms and Conditions (the "Terms") govern the use of the T&Co Agency website and set the legal framework for the services (outsourcing, provision of dedicated teams, managed services and consulting) provided to business clients (the "Client"). By browsing this site or engaging our services, you accept these Terms without reservation. The specific terms of each engagement will be covered by a separate service contract (Service Agreement) that will supplement these Terms.
Description of Services
T&Co Agency acts as a strategic partner in human resources and operations. Our services include, without limitation:
Recruitment, training and provision of international talents.
Management of outsourced services (BPO).
Support and consulting in engineering, marketing and operations management.
Mutual Commitments
T&Co Agency Commitments
We commit to providing our services with diligence and professionalism, in line with industry standards (obligation of means). We provide strategic management from our offices in Canada while running our international operations centers.
Client Commitments
The Client commits to actively cooperate by providing all information, directions and access (software, platforms) needed for the deployed talents to carry out the engagement properly.
Intellectual Property
All work, deliverables, code, designs and documents produced by T&Co Agency talents under a specific engagement for a Client become the exclusive property of that Client, subject to full payment of the related invoices. T&Co Agency retains the intellectual property of its own methodologies, internal processes, training tools and administrative documents.
Confidentiality
Protecting your strategic information is at the heart of our acronym (Transparency, Organization, We-first, Agility).
T&Co Agency and all of its team members (internal and outsourced) commit to maintaining the strictest confidentiality regarding the Client's data, trade secrets and processes.
Strict non-disclosure agreements (NDAs) are signed by all our talents before any engagement begins.
Personal Data Protection
As a company operating from Quebec, T&Co Agency complies with Law 25 (An Act to modernize legislative provisions as regards the protection of personal information) as well as applicable international standards. Data processing is detailed in our Privacy Policy. The Client remains the data controller for the data entrusted to our teams.
Fees and Payment Terms
The fees for our services (hourly rates, monthly packages or managed services) are set out in the specific quotes or service contracts. Unless otherwise stated in the Service Agreement:
Invoices are issued monthly.
Payments are due within thirty (30) calendar days of the invoice date.
In the event of late payment, penalties may be applied in accordance with applicable law.
Limitation of Liability
T&Co Agency strives to provide the best possible service. However, T&Co Agency shall not be liable for indirect damages, such as loss of profits, loss of data or business interruption, arising from the use of our services. The total liability of T&Co Agency, for any claim related to the contract, is strictly limited to the total amount paid by the Client for the services concerned during the three (3) months preceding the incident.
Independence of the Parties
T&Co Agency acts as an independent contractor. Nothing herein creates an employer-employee relationship, partnership or joint venture between the Client and the talents provided by T&Co Agency. T&Co assumes full responsibility for social charges, taxes and legal obligations related to its own employees.
Termination
The termination terms of an engagement are set out in the Service Agreement specific to each Client (generally with 30 to 60 days' written notice). In the event of a material breach of these Terms by one party, the other party may terminate the service with immediate effect.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any dispute arising from these Terms or from the services provided by T&Co Agency will be subject to the exclusive jurisdiction of the courts of the judicial district of Montreal, Quebec.
